Source Code License Agreement

This Source Code License Agreement (“Agreement”) is between the developer of the App (“App”) and the licensee (“Licensee”) who desires to use the App source code. This Agreement applies to the source code of any La Forge WORK app for Atlassian Jira, including Multiple Assignees and Merge Assistant.

License grant

The developer of the App hereby grants to Licensee a non-exclusive, non-transferable, revocable license to use, reproduce and modify the App source code for the sole purpose of creating derivative works that integrate with Jira.

Restrictions

Licensee may not distribute, sell or sublicense the App source code, or use the App source code to create any product that competes with the developer of the App.

Ownership

The developer of the App retains all ownership and intellectual property rights in and to the App source code. Licensee may not remove or alter any copyright, trademark or other proprietary notice in or on the App source code.

Warranty

The developer of the App provides no warranty, express or implied, as to the suitability or accuracy of the App source code. The App source code is provided “as is” without warranty of any kind, and the developer of the App shall not be liable for any damages arising from the use of the App source code.

Termination

This Agreement will terminate automatically if Licensee breaches any provision of this Agreement. Upon termination, Licensee must immediately cease all use of the App source code.

Governing law

This Agreement shall be governed by and interpreted in accordance with the laws of the jurisdiction in which the developer of the App is located.

Entire agreement

This Agreement constitutes the entire understanding of the parties and supersedes all prior negotiations, understandings and agreements between the parties with respect to the App source code.
